Agreement to Terms

Welcome to HeyStack. These Terms of Service ("Terms") govern your access to and use of our AI-powered prospecting and outreach platform. By accessing or using HeyStack, you agree to be bound by these Terms and our Privacy Policy.

If you do not agree to these Terms, you may not access or use the platform. We reserve the right to modify these Terms at any time, and your continued use constitutes acceptance of any changes.

Eligibility

To use HeyStack, you must:

• Be at least 18 years old
• Have the authority to enter into binding contracts
• Comply with all applicable laws and regulations
• Not be prohibited from using the service under applicable law
• Provide accurate, complete, and current registration information

If you are using HeyStack on behalf of a company or organization, you represent that you have the authority to bind that entity to these Terms.

Account Registration and Security

Account Creation

To use HeyStack, you must create an account. You agree to provide accurate information and keep your account details up to date. You are responsible for maintaining the confidentiality of your login credentials.

Account Security

You are responsible for:

• All activities that occur under your account
• Maintaining the security of your password and account
• Notifying us immediately of any unauthorized access
• Ensuring your team members comply with these Terms

We are not liable for any loss or damage arising from your failure to maintain account security.

Service Description

HeyStack provides an AI-powered platform for:

• Market research and ideal customer profile (ICP) analysis
• Lead generation and prospecting
• Multi-channel outreach (LinkedIn, email, SMS, WhatsApp, voice)
• Campaign management and optimization
• Contact enrichment and verification
• CRM integrations (Salesforce, HubSpot, Pipedrive)
• AI-powered messaging and personalization

We reserve the right to modify, suspend, or discontinue any aspect of the service at any time with or without notice.

Pricing and Payment

Credit-Based System

HeyStack uses a credit-based pricing model. Each action (message sent, contact enriched, automation step) consumes credits according to our published pricing. You are responsible for monitoring your credit usage.

Plans and Billing

• Free Plan: 1,000 credits/month with basic features
• Pro Plan: $99/month (or $990/year) with 2,000 credits and advanced features
• Premium Plan: $499/month (or $4,990/year) with 10,000+ credits and premium features

Payment Terms

Payments are processed at the beginning of each billing cycle. You authorize us to charge your payment method for all fees incurred. If payment fails, we may suspend or terminate your access.

Refund Policy

We offer a 14-day money-back guarantee for first-time Pro or Premium plan purchases. Refunds are not available for renewal payments or additional credit purchases. Credits do not roll over between billing periods unless you are on an annual plan.

Price Changes

We may change our pricing at any time. Price changes will not affect existing subscriptions until renewal, and we will provide at least 30 days' notice of any price increases.

Acceptable Use Policy

You agree not to use HeyStack to:

• Send spam, unsolicited messages, or violate anti-spam laws (CAN-SPAM, GDPR, CASL)
• Harass, threaten, or abuse others
• Impersonate any person or entity or misrepresent your affiliation
• Distribute malware, viruses, or harmful code
• Scrape, crawl, or use automated means to access the platform beyond intended functionality
• Reverse engineer, decompile, or attempt to extract source code
• Share your account credentials or resell access to the platform
• Upload or transmit illegal, infringing, or offensive content
• Interfere with the security or operation of the platform
• Violate any applicable laws, regulations, or third-party rights

We reserve the right to investigate violations and take appropriate action, including suspension or termination of your account.

Compliance with Outreach Laws

You are solely responsible for ensuring your outreach campaigns comply with all applicable laws, including:

• CAN-SPAM Act (United States)
• GDPR (European Union)
• CASL (Canada)
• Telephone Consumer Protection Act (TCPA)
• Data protection and privacy laws in your jurisdiction

Best practices include:

• Obtaining proper consent before contacting prospects
• Providing clear opt-out mechanisms in all messages
• Honoring opt-out requests promptly (within 10 business days)
• Including accurate sender identification and physical address
• Maintaining proper records of consent and opt-outs

You agree to indemnify and hold HeyStack harmless from any claims arising from your non-compliance with these laws.

Data Ownership and Usage

Your Data

You retain ownership of all data you input into HeyStack, including campaign content, prospect lists, and messaging. You grant us a limited license to use this data solely to provide and improve the service.

Platform Data

We retain ownership of the HeyStack platform, including all software, algorithms, AI models, and infrastructure. You may not copy, modify, or redistribute any part of the platform.

Aggregated Data

We may use anonymized, aggregated data derived from your usage to improve our AI models, develop new features, and conduct research. This data cannot be used to identify you or your campaigns.

Intellectual Property

All content, features, and functionality of HeyStack are owned by us and protected by copyright, trademark, and other intellectual property laws. This includes:

• Software code, algorithms, and AI models
• User interface design and branding
• Documentation and training materials
• Templates and best practice content

You may not use our intellectual property without explicit written permission.

Third-Party Integrations

HeyStack integrates with third-party services (LinkedIn, email providers, CRMs, etc.). Your use of these integrations is subject to their respective terms of service. We are not responsible for:

• Changes to third-party APIs or services
• Data loss or security issues with third-party platforms
• Violations of third-party terms of service
• Service interruptions caused by third-party providers

You are responsible for ensuring you have proper authorization to connect third-party accounts to HeyStack.

Service Level and Availability

We strive to provide reliable service but do not guarantee uninterrupted access. We may experience downtime for:

• Scheduled maintenance (with advance notice when possible)
• Emergency maintenance and security updates
• Third-party service disruptions
• Force majeure events beyond our control

For Premium plan users, we target 99.5% uptime and provide priority support during outages.

Termination

Termination by You

You may cancel your account at any time through your account settings or by contacting support. Annual plan cancellations are effective at the end of the current billing period. Monthly plans cancel immediately.

Termination by Us

We may suspend or terminate your access if:

• You violate these Terms or our Acceptable Use Policy
• Your account is inactive for more than 12 months
• Payment fails after repeated attempts
• Required by law or to prevent harm

Effect of Termination

Upon termination:

• Your access to the platform will cease immediately
• Unused credits will be forfeited (no refunds)
• You may export your data within 30 days of termination
• We may delete your data after 30 days (backups may persist up to 90 days)

Warranties and Disclaimers

HEYSTACK IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED. WE DISCLAIM ALL WARRANTIES, INCLUDING:

• MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT
• ACCURACY, RELIABILITY, OR COMPLETENESS OF CONTENT
• UNINTERRUPTED, ERROR-FREE, OR SECURE OPERATION
• RESULTS OR OUTCOMES FROM USING THE SERVICE

YOU USE HEYSTACK AT YOUR OWN RISK. WE DO NOT GUARANTEE SPECIFIC RESULTS, RESPONSE RATES, OR LEAD QUALITY.

Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, HEYSTACK AND ITS AFFILIATES, OFFICERS, EMPLOYEES, AND AGENTS SHALL NOT BE LIABLE FOR:

• INDIRECT, INCIDENTAL, CONSEQUENTIAL, PUNITIVE, OR SPECIAL DAMAGES
• LOSS OF PROFITS, REVENUE, DATA, OR BUSINESS OPPORTUNITIES
• DAMAGES ARISING FROM UNAUTHORIZED ACCESS OR DATA BREACHES
• DAMAGES FROM SERVICE INTERRUPTIONS OR ERRORS
• DAMAGES FROM THIRD-PARTY SERVICES OR INTEGRATIONS

OUR TOTAL LIABILITY SHALL NOT EXCEED THE AMOUNT YOU PAID US IN THE 12 MONTHS PRECEDING THE CLAIM.

Some jurisdictions do not allow limitation of liability, so these limitations may not apply to you.

Indemnification

You agree to indemnify, defend, and hold harmless HeyStack and its affiliates from any claims, damages, losses, or expenses (including legal fees) arising from:

• Your use of the platform or violation of these Terms
• Your outreach campaigns or marketing content
• Violation of any laws, regulations, or third-party rights
• Unauthorized use of your account by others due to your negligence

Dispute Resolution

Informal Resolution

Before filing a claim, you agree to contact us at legal@heystack.ai to attempt to resolve the dispute informally.

Arbitration

Any disputes that cannot be resolved informally shall be resolved through binding arbitration in accordance with the rules of the American Arbitration Association. You waive your right to a jury trial or to participate in a class action lawsuit.

Exceptions

Either party may seek equitable relief in court for intellectual property infringement or to enforce confidentiality obligations.

Governing Law

These Terms are governed by the laws of the State of Delaware, United States, without regard to conflict of law provisions. Any disputes shall be resolved in the courts of Delaware or through arbitration as described above.

Changes to Terms

We may update these Terms from time to time. Material changes will be communicated via:

• Email notification to your registered address
• In-app notification when you next log in
• Updated "Last Modified" date at the top of this page

Your continued use of HeyStack after changes constitutes acceptance. If you do not agree to the updated Terms, you must stop using the service and cancel your account.

Miscellaneous

Entire Agreement

These Terms, together with our Privacy Policy, constitute the entire agreement between you and HeyStack.

Severability

If any provision is found unenforceable, the remaining provisions will remain in full effect.

Waiver

Our failure to enforce any right or provision does not constitute a waiver of that right.

Assignment

You may not assign or transfer these Terms without our written consent. We may assign these Terms without restriction.

Force Majeure

We are not liable for delays or failures in performance due to causes beyond our reasonable control, including acts of God, war, terrorism, pandemics, or internet service provider failures.
